Terms and Conditions

IMPORTANT NOTICE: These Terms and Conditions are provided as a general template and do not constitute legal advice. MedTech Talent Partners strongly recommends review by a licensed attorney prior to use.

1. Parties and Scope

These Terms and Conditions ("Agreement") govern the relationship between MedTech Talent Partners ("Company," "we," or "us"), client companies seeking to hire talent ("Client"), and candidates seeking employment opportunities ("Candidate"). By engaging MedTech Talent Partners in any capacity, all parties agree to be bound by this Agreement.

2. Services Provided

MedTech Talent Partners provides talent placement and recruiting services within the medical device and healthcare industries, including but not limited to:

  • Contingency-based placement — fees are due only upon successful hire of a Candidate introduced by MedTech Talent Partners
  • Retained search — fees are paid in advance to initiate a dedicated search, as outlined in a separate engagement letter
  • Candidate sourcing, screening, and presentation
  • Interview coordination and offer negotiation support

3. Client Terms and Obligations

3.1 Fee Structure

Fees for contingency placements are calculated as a percentage of the placed Candidate's first-year base salary, as agreed upon in writing prior to the commencement of services. Retained search fees will be outlined in a separate Statement of Work ("SOW"). All fees are due within [30] days of invoice unless otherwise agreed in writing.

3.2 Exclusivity

Unless a retained engagement has been agreed upon in writing, MedTech Talent Partners operates on a non-exclusive basis. The Client may simultaneously engage other recruiting firms; however, fees are owed solely for Candidates first introduced by MedTech Talent Partners.

3.3 Candidate Ownership

If a Client hires a Candidate introduced by MedTech Talent Partners within twelve (12) months of introduction — regardless of whether the role is the same role for which the Candidate was originally submitted — the placement fee applies in full.

3.4 Replacement Guarantee

If a placed Candidate voluntarily resigns or is terminated for cause within [INSERT GUARANTEE PERIOD, e.g., 60 or 90 days] of their start date, MedTech Talent Partners will conduct one (1) complimentary replacement search. This guarantee is void if:

  • The Client has not paid the placement fee in full
  • The Candidate's departure was due to changes in role, compensation, or conditions not disclosed prior to placement
  • The Client terminates the Candidate without documented cause

3.5 Client Responsibilities

The Client agrees to:

  • Provide accurate and complete job descriptions, compensation details, and role requirements
  • Notify MedTech Talent Partners promptly of any offer, acceptance, or rejection
  • Conduct all hiring activities in compliance with applicable federal, state, and local employment laws

4. Candidate Terms and Obligations

4.1 Representation and Accuracy

Candidates agree to provide accurate, complete, and up-to-date information regarding their professional background, experience, credentials, and employment history. Misrepresentation of any kind is grounds for immediate withdrawal from the placement process.

4.2 Confidentiality of Client Identity

MedTech Talent Partners may, at its discretion, withhold the identity of a Client until an appropriate stage in the placement process. Candidates agree not to pursue direct contact with a Client identified through MedTech Talent Partners outside of the facilitated process during the engagement period.

4.3 No Fee to Candidates

MedTech Talent Partners does not charge fees to Candidates. All placement fees are the sole responsibility of the Client.

4.4 Right to Represent

By submitting a resume or engaging with MedTech Talent Partners, the Candidate grants MedTech Talent Partners the right to present their profile to potential Client employers. Candidates may withdraw consent at any time by providing written notice.

5. Confidentiality

Both Clients and Candidates acknowledge that during the course of engagement, they may receive confidential information about the other party or about MedTech Talent Partners' business operations. All parties agree to:

  • Keep such information strictly confidential
  • Not disclose confidential information to any third party without prior written consent
  • Use confidential information solely for the purpose of evaluating a potential employment relationship

6. Limitation of Liability

MedTech Talent Partners acts as an intermediary and does not guarantee employment outcomes, Candidate performance, or the suitability of any placement. To the fullest extent permitted by law:

  • MedTech Talent Partners is not liable for any indirect, incidental, or consequential damages arising from a placement or failed placement
  • Our total liability to any party shall not exceed the total fees paid to MedTech Talent Partners in connection with the relevant placement
  • MedTech Talent Partners makes no warranties, express or implied, regarding the fitness of any Candidate for a particular role

7. Non-Solicitation

Clients agree not to directly solicit, recruit, or hire any MedTech Talent Partners staff member or active Candidate (defined as any Candidate presented within the prior twelve months) for any purpose outside of the facilitated placement process, without the prior written consent of MedTech Talent Partners.

8. Equal Opportunity and Legal Compliance

MedTech Talent Partners is committed to equal opportunity employment practices. We do not discriminate on the basis of race, color, religion, sex, national origin, age, disability, or any other protected characteristic. Clients agree to conduct all hiring activities in compliance with all applicable federal, state, and local employment laws, including but not limited to Title VII, the ADA, and the ADEA.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association.

10. Modifications to This Agreement

MedTech Talent Partners reserves the right to update or modify these Terms and Conditions at any time. Clients and Candidates will be notified of material changes. Continued engagement with MedTech Talent Partners following notice of changes constitutes acceptance of the revised terms.

11. Entire Agreement

This Agreement, together with any applicable SOW or engagement letter, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, representations, or agreements. No modification shall be binding unless made in writing and signed by authorized representatives of both parties.
